I hear it in every gear..then its quiet when I disengage clutch..It also has noise in neutral and the rpm goes down a little if its at idle and I engage the clutch in neutral..

other than that it shifts and goes really good in all gears..then I get that WHIRR noise when decelerating in gear..

Sounds like possibly a throw out bearing. Do you have the proper gap between the throw out bearing and pressure plate?

Not sure of the exact measurement, but its not hitting the fingers when the clutch is out .. I read some info about neutral gear rollover noise which sort of describes it..almost as if the the rotational mass inside the tranny..I thought maybe rear end or drive shaft but no noise when push the clutch down..

Thanks Al

Could also be the input or output bearing. Obviously when you disengage the the trans the noise stops so its something internal if you are sure the throwout bearing is not spinning.
